1. Agreement to these Terms
For these Terms, “RelayStack,” “we,” “us,” and “our” refer to the operator of relaystack.online and the RelayStack service. By creating an account, purchasing a plan, using an API key, submitting content, or otherwise using RelayStack, you agree to these Terms and the policies incorporated by reference.
If you use RelayStack for a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts and security
You must provide accurate account information and keep your credentials, API keys, and authentication methods secure. You are responsible for activity performed through your account or credentials unless prohibited by applicable law.
- Do not share API keys publicly or embed secret credentials in public client-side code.
- Notify RelayStack promptly if you believe an account or key has been compromised.
- You may not sell, transfer, or sublicense your RelayStack account unless we approve it in writing.
3. RelayStack services
RelayStack may provide AI API access, usage tracking, project and knowledge management, AI configuration, prompt design, implementation assistance, integrations, and related managed services. Features, limits, supported providers, models, and plan inclusions may change as the service evolves.
Custom implementation beyond the scope of the purchased package may require a separate quote, statement of work, or written agreement.
4. Plans, billing, API credits, and overages
Business, Growth, and Scale may be purchased through PayPal as recurring monthly subscriptions ($199/$399/$799 per month) or single 30-day access passes ($229/$449/$899 once). Monthly subscriptions renew automatically until canceled; one-time passes expire 30 days after confirmed payment and never renew automatically.
- Business includes $25, Growth $75, and Scale $200 of API credit. Subscription credit is added for each successfully paid monthly cycle; a 30-day pass adds credit once. Unused wallet credit does not extend a pass beyond its expiry.
- Included API credits are service credits only. They are not cash, are not transferable, and cannot be withdrawn.
- Usage above an included allowance may require additional credit or may be billed separately where that option is offered.
- Taxes, payment-provider charges, currency conversion, and other applicable charges may be added where required.
- Purchased packages include guided planning and handover work described on the pricing page. Automatic AI training, team-seat access, ongoing support retainers and perpetual hosting are not included.
Refunds are governed by our Refund Policy and any mandatory consumer rights that apply.
5. AI outputs and human review
You are responsible for reviewing AI outputs before relying on them. You must not treat RelayStack or model output as a substitute for qualified professional judgment in legal, medical, financial, tax, employment, safety, compliance, or other high-impact matters.
You are responsible for determining whether your use of AI is lawful and appropriate for your industry, users, geography, and use case.
6. Customer content and permissions
You retain ownership of content you submit to RelayStack, subject to the rights you grant us to operate the service. You grant RelayStack a limited, non-exclusive right to host, process, transmit, reproduce, and otherwise use your content only as reasonably necessary to provide, secure, maintain, and improve the services you request.
You represent that you have all rights, permissions, notices, and lawful bases necessary to submit and process your content through RelayStack and any connected third-party providers.
Do not submit content that is unlawful, infringing, confidential without authorization, or subject to restrictions that prevent the requested processing.
7. Acceptable use
You must comply with our Acceptable Use Policy, applicable law, and any applicable upstream model-provider policies. We may restrict or suspend activity that creates security, legal, abuse, fraud, or platform-integrity risks.
8. RelayStack intellectual property
RelayStack and its software, site design, documentation, APIs, branding, workflows, and other proprietary materials are owned by or licensed to RelayStack. These Terms do not transfer ownership of RelayStack technology to you.
Subject to these Terms and an active account, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the services for your internal business purposes or approved application use.
9. Third-party providers
RelayStack relies on third-party infrastructure and AI providers, which may include model providers, payment processors, hosting providers, authentication providers, databases, and other services. Third-party availability, model behavior, rate limits, pricing, and policies may change outside RelayStack’s control.
RelayStack is not affiliated with or endorsed by a third-party provider merely because the provider is supported or referenced by the service.
10. Suspension and termination
We may suspend or terminate access where reasonably necessary to address nonpayment, security incidents, abuse, legal requirements, material policy violations, fraud, threats to other users, or misuse of RelayStack or upstream providers.
You may stop using RelayStack at any time. One-time package purchases do not renew. Customers with pre-existing recurring subscriptions may cancel future renewals according to their prior payment terms.
11. Service disclaimers
To the maximum extent permitted by applicable law, RelayStack is provided on an “as is” and “as available” basis. We do not warrant uninterrupted availability, error-free operation, specific model performance, specific business results, permanent availability of any third-party model, or compatibility with every system.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
12. Limitation of liability
To the maximum extent permitted by law, RelayStack will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or the cost of substitute services arising from use of the service.
To the maximum extent permitted by law, RelayStack’s aggregate liability arising out of or relating to the services will not exceed the fees you paid to RelayStack for the affected service during the six months immediately preceding the event giving rise to the claim.
These limitations do not apply where applicable law does not permit them.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules, except where mandatory consumer or other laws require a different result.
Before filing a formal claim, the parties should make a reasonable attempt to resolve the dispute directly. Any dispute that cannot be resolved informally may be brought before a court of competent jurisdiction, subject to any mandatory rights that apply to the customer.
14. Changes to these Terms
We may update these Terms as RelayStack changes. Material updates will be posted on this page with a revised effective date and, where required, additional notice. Continued use after an update takes effect constitutes acceptance to the extent permitted by law.
